Private credit has become a significant, fast-growing part of the capital markets. Understanding how the market, its lenders, and the lower-middle- and middle-market companies it serves fit together is the starting point for navigating it well.
The Private Credit Market
Institutional and individual investors are allocating more to private credit due to its attractive risk-adjusted returns, diverse strategies, and diversification benefits. As banks tightened lending standards, the private credit market expanded rapidly, leading to increased specialization. New managers have developed expertise in specific credit profiles and financing structures. This has created a larger, more sophisticated lender universe, but also one with narrower and more complex mandates.
The Private Credit Lender
Private credit lenders manage significant capital, but that doesn't mean capital is easy to access. Narrower mandates have led to stricter, more selective underwriting, making it harder for lenders to find companies that meet their criteria. When a company aligns with a lender's mandate, the lender may offer more favorable terms to secure the deal and add the company to its portfolio.
The Lower-Middle- and Middle-Market
Lower-middle and middle-market companies occupy a structural gap. Their operating models, market segmentation, and cash flows are too complex for regional banks or SBA lenders, but too small for large financial institutions. Often founder- or family-owned, these companies typically have limited financial reporting infrastructure, limited familiarity with private capital markets, and limited access to institutional debt advisory.
The Market Challenge
The private credit lender market is fragmented and opaque. No comprehensive directory covers asset-based finance, unitranche, real estate, venture, specialty, family office, or mezzanine lenders. Many firms that describe themselves as "lower middle market" actually operate at the upper end of that range. As financing options increase, selecting the right lender and structure is more important than ever.
